Well established Investment Bank of incredibly high repute seeks commercially astute specialised finance lawyer. Pertinent areas of focus encompass acquisition and leverage finance, trade and commodity finance and project finance. Very hands-on approach.

Responsible for  drafting; negotiating and vetting of all legal agreements arising out of or in connection with Specialised Funding Solutions namely: Project Finance(PPP’s and Infrastructure Finance); Leverage and Acquisition Finance ; Structured Trade and Commodity Finance ;Growth and Acquisition Finance and Balance Sheet Advisory.

The legal counsel will get involved in transactions from deal inception stage;

• Approving and negotiating the terms sheet;

• Attending credit and implementation meetings;

• Signing off on implementation of the deal;

• Doing the actual legal implementation of a transaction;

• Signing off on the fulfilment of the conditions precedent and securities check list and  advising on transactions post implementation.

Experience in the drafting of the following agreements is essential:

1. Financing and Security agreements;
2. Project Finance agreements; Sale of business;
3. Share Subscription;
4. Shareholders
5. Preference Share subscription

BA/BCom,  LLB.  LLM an advantage.  Must be an admitted attorney.

The legal counsel will form part of the Specialised Finance legal team which consists of 6 legal counsels and 2 PA’s.
